Natasha is a partner who specialises in both corporate and finance transactions. Natasha advises on mergers, acquisitions, corporate finance, refinances, joint venture and other shareholder arrangements.

Natasha’s clients are businesses at all stages of their establishment and growth; including entrepreneurs, owner-managers and high net-worth individuals.  Natasha provides guidance on investments, corporate structures, directors’ duties, shareholder arrangements and exit strategies.

Natasha’s practice is sector-agnostic, but she does have industry-specific experience in care; financial and professional services; aviation; and luxury alcohol brands.  Natasha also works on various corporate real estate matters, including finance, and has acted for developers and investors.

Natasha has over 20 years’ experience advising on the following, often with an international element:

  • private company mergers and acquisitions;
  • corporate finance transactions;
  • creating and reorganising corporate groups including capital reductions; share for share exchanges and share buybacks;
  • real estate finance acting for a number of clearing banks on their bilateral and revolving credit facilities;
  • high-value refinances;
  • sub-ordinated, mezzanine and bridging loan agreements and associated documentation acting for lenders and borrowers;
  • inter-company loan agreements and security documentation;
  • management buy-outs;
  • sale/purchase of business jets and super yachts;
  • drafting shareholder agreements, joint venture agreements and articles of association;
  • EMI and other non-qualifying share incentive schemes, including growth share schemes;
  • acting for public companies on AIM IPOs and subsequent placings, predominantly in the mining sector.

Natasha has led a number of large transactions over the last few years and has a portfolio of repeat clients.  Recent example of deals which Natasha has advised on include:

  • the acquisition of the entire issued share capital of a highly regulated company for a complex combination of initial and deferred consideration of earn out payments for a period of 3 years post-completion together with the issue of shares in the purchasing entity;
  • acting for the management sellers in the sale of their shares in the holding company of a group of companies in the independent financial advice sector to private equity;
  • reviewing and negotiating the multi-million refinance of existing debt for a hospitality business; and
  • working with the new luxury gin brand Renais Spirits Limited, the brainchild of Alex Watson (brother of Emma Watson, also an investor), ahead of the recent release of its flagship special edition Renais Gin, to ensure the correct agreements were put in place for initial investment.

Outside the office

In her spare time, Natasha enjoys time at the beach or out on the water with her wife and two children. Natasha is also endeavouring to build on her Spanish GCSE with a language-learning app!
