Managing your contracts for better performance
For small and medium-sized enterprises (SMEs), and in fact any business, effective contract management is essential for ensuring you operate efficiently and in a way that complies with the law. Strong contracts lay the groundwork for successful relationships with suppliers and customers, and they help protect your business from potential risks. This unlocks the door to profitability whilst at the same time positioning your business on a stable, reliable and insurable platform.
However, many businesses struggle with managing these contracts. This article highlights some of the key considerations when assessing how strong your own contract management is.
Contract management processes
Start by establishing a clear contract management process. This should include the creation, execution, and monitoring of contracts. Begin by ensuring that your contracts clearly outline the terms, responsibilities, and expectations of all parties involved. The contracts always include essential clauses addressing issues such as payment terms, delivery schedules, and quality standards. If your current contracts do not suffice then you should look to amend these.
Once you have the right contracts in place, you will then need to monitor their execution and delivery closely. Set up diary alerts for important dates that are set out in the contract like renewal deadlines, break / termination windows, KPI deadlines, delivery schedules or compliance checks. Regular communication with suppliers can also help you identify any issues early on, allowing you to come up with proactive solutions. It is important that you have a quality control system which can flag potential contractual issues before they become a problem.
Contract renewal
Contract renewal is a critical aspect of procurement management. As a contract approaches its expiration or renewal date, it is essential to evaluate its performance and decide whether to renew, renegotiate, or terminate it.
If you choose to renew, consider negotiating better terms based on your experience and market conditions. Consider whether things like pricing, milestones, KPIs and schedules need to be updated, or whether you are now in a stronger negotiating position than you were when you entered into the contract, and therefore able to change certain terms so that they offer you greater rights or protection. This is an opportunity to strengthen your relationship with suppliers and secure more favourable agreements. Establishing a timeline for renewals can help you avoid last-minute decisions, being forced to accept unfavourable terms and potential disruptions in your supply chain.
Compliance checks
Compliance checks (checks that ensure that all parties are meeting your obligations under the contract) are integral to maintaining the integrity of your procurement contracts. You should be diarising regular compliance checks throughout the term of each contract. This may include monitoring adherence to regulations regarding employment laws, health and safety regulations, environmental standards, and industry-specific guidelines, or with matters such as anti-bribery and corruption, and anti-modern slavery.
Make sure that you document all compliance checks and any corrective actions taken to create a transparent record that can be referenced in case of any disputes.
In addition, it is critical to stay abreast of legal developments that may affect the lawfulness and enforceability of your contracts.
